These Terms govern your use of the website and the purchase of our research deliverables. Specific paid engagements are additionally governed by an Engagement Letter and bilateral NDA, which take precedence where they conflict.
These Terms and Conditions ("Terms") govern your use of the VS-Trade Intelligence Limited website (vstrade.co) and the purchase of our research deliverables. Specific paid engagements are additionally governed by an Engagement Letter and bilateral Non-Disclosure Agreement, which take precedence over these Terms where they conflict.
By using our website or purchasing a deliverable, you agree to these Terms.
1. Definitions
- "VS-Trade", "we", "us", "our": VS-Trade Intelligence Limited, a private company limited by shares, registered in England and Wales (Company #17200549), registered office at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom.
- "Deliverable": a research report or analytical product provided by VS-Trade, including the R003 product family (Pulse, Bundle, Extended) and any retainer or custom engagement output.
- "Client", "you", "your": the individual or entity purchasing or using a Deliverable.
- "Website": vstrade.co and its subdomains.
- "Engagement Letter": the specific agreement governing a paid engagement, combined with a bilateral NDA.
2. Website Use
2.1 The Website and its free materials (including the industry brief, "LM3") are provided for general informational purposes.
2.2 Free materials may be downloaded and shared for non-commercial reference, provided VS-Trade is attributed and the materials are not altered.
2.3 You agree not to use the Website for any unlawful purpose, to attempt unauthorised access, or to disrupt its operation.
3. License Grant
3.1 Upon purchase and payment in full, VS-Trade grants you a non-exclusive, non-transferable, non-sublicensable, single-user license to access and use the Deliverable for your internal business decision-making.
3.2 You may excerpt analytical findings in your internal materials (briefings, internal decks, internal memos) provided VS-Trade attribution is included.
3.3 Team and Corporate license tiers, where purchased, extend internal-use rights to the agreed number of users per the Engagement Letter.
4. Use Restrictions
You shall NOT:
(a) Resell or sub-license any Deliverable to a third party;
(b) Redistribute any Deliverable in its original form to anyone outside your organisation;
(c) Publish specific named-entity findings from a Deliverable publicly (including on social media, press releases, articles, or public reports) without VS-Trade's prior written consent;
(d) Use a Deliverable to attempt to identify, contact, or compete unfairly with any specific entity named in the Deliverable;
(e) Use a Deliverable for any unlawful purpose;
(f) Remove or alter any watermarks, attribution, copyright notices, or disclaimers from a Deliverable.
5. Permitted External Use
You may share aggregated, non-attributable findings (for example, "the Mexican AI-compute import market shows a given concentration pattern") in external communications, provided:
(a) No specific named entities from the Deliverable are disclosed;
(b) VS-Trade is attributed as the analytical source;
(c) Any specific methodology claim references our methodology disclosure.
6. Disclaimers
6.1 Deliverables are analytical research, provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, or accuracy and completeness of underlying source data.
6.2 Deliverables are compiled from legally obtained sources, including licensed third-party data providers covering Mexican import operations, together with proprietary analytical research. Due to the inherent variability of underlying source declarations, no analysis can claim 100% accuracy. Limitations are disclosed transparently in the methodology documentation accompanying paid Deliverables.
6.3 Deliverables do NOT constitute legal advice, tax or fiscal advice, investment advice, regulatory compliance advice, or any recommendation to enter into specific transactions. You retain full decision-making responsibility for any business action based on a Deliverable.
7. Limitation of Liability
7.1 Except for breaches of confidentiality or use restrictions, VS-Trade's maximum aggregate liability arising from or in connection with a Deliverable shall not exceed the total fees paid by you for that Deliverable.
7.2 In no event shall VS-Trade be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost business opportunities.
7.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
8. Intellectual Property
8.1 VS-Trade retains all intellectual property rights in its methodology, analytical frameworks, source aggregation logic, and proprietary tools.
8.2 You receive only the single-user license described in Section 3 — no transfer of intellectual property ownership occurs.
8.3 The Website content, branding, and materials are the property of VS-Trade and may not be copied or reproduced except as expressly permitted.
9. Payment, Taxes & Refunds
9.1 Payment terms are specified in the applicable invoice and Engagement Letter. Unless otherwise agreed, fees are payable in full in advance.
9.2 VS-Trade is not currently registered for UK VAT (turnover is below the £90,000 threshold). VAT registration will be reconsidered based on turnover progression. You will be notified if VAT applies at the time of invoice. You are responsible for any local taxes applicable in your own jurisdiction.
9.3 Refunds are governed by our Refund Policy, available at vstrade.co/refund.
10. Confidentiality
10.1 Paid engagements are governed by a bilateral Non-Disclosure Agreement.
10.2 VS-Trade does not confirm or deny the existence of any other engagements with third parties.
11. Data & Privacy
11.1 Our handling of data is described in our Privacy Notice, available at vstrade.co/privacy.
11.2 VS-Trade processes corporate entity information only. Personal data of individuals is excluded by methodology design and does not appear in our Deliverables.
11.3 We operate under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, and apply the applicable Mexican data protection framework (LFPDPPP) for corporate trade-intelligence research.
12. Governing Law & Dispute Resolution
12.1 These Terms are governed by the laws of England and Wales, without regard to conflicts-of-law principles.
12.2 Before commencing court proceedings, the parties shall attempt to resolve any dispute through good-faith discussion between authorised representatives for a period of thirty (30) days.
12.3 If discussion fails to resolve the dispute, the matter shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12.4 Notwithstanding the above, where you are a consumer or entity located in Mexico, you retain any non-waivable rights available under applicable Mexican consumer protection law.
13. Force Majeure
VS-Trade is not liable for any delay or failure to perform due to causes beyond its reasonable control, including natural disasters, war, civil unrest, governmental action, network outages, or pandemic.
14. Changes to These Terms
VS-Trade may update these Terms from time to time. Updated versions will be posted on this page with a revised effective date. Engagements entered under a prior version continue to be governed by the version in effect at the time of the Engagement Letter.
15. Entire Agreement & Severability
15.1 For a specific paid engagement, these Terms together with the applicable Engagement Letter and NDA constitute the entire agreement between the parties regarding its subject matter.
15.2 If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect.

These Terms are provided in good faith and reflect VS-Trade's standard operating terms. They are subject to periodic review. Material terms are binding between the parties subject to applicable law.
